    Call for Nominations – Independent Directors

    LC nsw320Following a 20-month consultation with members, Landcare NSW has adopted new governance arrangements, which will come into effect from 1 July 2022.

    The current Executive Committee will transition to a Board of Directors of the new company-limited-by-guarantee until the Landcare NSW Annual General Meeting (AGM) which will be held in November 2022.

     As a representative body, it is important for Landcare NSW to demonstrate that its Board of Directors have been democratically elected. We have created six Board Electoral Zones which will each elect a Director to the Board of Landcare NSW.

    • 6 Ordinary Directors – elected by members (one from each of the six electoral zones)
    • 4 Independent Directors – appointed by the Nominations Committee

    Call for Nominations

    This year, we will be electing up to two Independent Directors, including a person who is an Aboriginal or Torres Strait Islander.

    We are particularly interested in receiving nominations from people who have the following skills needed on the Board:

    • Knowledge of, or work experience in government/political experience
    • Human resource/culture skills and experience
    • Experience in information communications technology (eg. digitalisation) and/or fundraising

    Landcare NSW is committed to ensuring that its Board reflects the diversity of the Landcare NSW membership across the state. All Landcarers are welcome, but we would be particularly interested in hearing from women, and Aboriginal and Torres Strait Islander candidates.

    Nominations will be open to individuals who wish to lodge an expression of interest from 6 June to 29 July 2022. All nominated candidates must be vetted and approved by the Nominations Committee before appointment.

    Successful candidates will be announced at the November 2022 Annual General Meeting and will take office at the first Board meeting thereafter.

    Requirements for all directors

    There are typically six to eight board meetings each year. A combination of in-person and online meetings will be held.  However, directors will be able to attend in-person meetings virtually if they are unable to travel. Directors are not remunerated; however, all out-of-pocket travel costs will be covered.

    According to the constitution, all persons who seek nomination must meet the following criteria:

    • the person supports the purpose and objects of Landcare NSW as outlined in the Landcare NSW Limited Constitution (draft until company registered)
    • the person has consented in writing to be a Director;
    • the person is not an Employee of any Landcare organisation or NSW Landcare Program;
    • the person is not ineligible to be a Director under:

    - the Corporations Act (Cwlth 2001); or

    - the ACNC Legislation;

    • the person has suitable qualifications, skills and experience to discharge the functions of a Director;
    • the person has secured a Director Identification Number from the Australian Securities and Investment Commission, prior to nomination; and,
    • the person has been approved as a candidate by the Nominations Committee

    Office Bearers

    At its first meeting, the directors will elect from among themselves a chair, a treasurer and a vice-chair and secretary for one-year terms.  The term limits for the chair and the treasurer will be set aside, allowing those individuals to normally serve for up to two three-year terms in addition to whatever time they have previously spent on the Board of Landcare NSW.  All directors may stand for election as an office bearer, except for the position of chair which will be restricted to those directors who have previously served one term on the Board (or, the previous Executive Committee).  All directors may be asked to serve on sub-committees of the Board and general committees of the Company from time-to-time.

    This is an exciting time for us as we build on the investment we have made already into strengthening the governance across the organisation.

    If you are interested in standing for the Board of Landcare NSW or know of someone who you think has the skills we are looking for, please get in touch with Nominations Committee Chair, Gareth Johnston via email on election@landcarensw.org.au
